MNF 2023 Guest Event Agreement

 

This Agreement is made and entered into by and between Unalome Project, (“Host”), and You, (“Guest”). The GUEST and the HOST agree as follows: 

 

I. Event Specific Details 

 

Name of the event: Maha Navratri Festival 2023; Dates: 14th October to 24th October; Format: Online Via Zoom

 

The Guest has agreed to participate in a moderated panel session, online performance or individual presentation (the Performance) during the Maha Navratri Festival 2023 (the “Event”) to be held online on the above mentioned dates.. 

 

In preparation, the Speaker agrees to: 

  1. meet all program-related deadlines provided to him/her by Host, including but not limited to deadlines for slides, handouts, A/V requests, etc.;
  2. participate in two rehearsal/prep sessions at mutually convenient times to be arranged if required;
  3. promote his/her session through the Speaker’s social networks (Instagram, Facebook, Twitter, LinkedIn, personal and company websites, etc.); Social media artwork with short links and hashtags will be provided to Speaker by the event coordinator prior to the event.
  4. use the presentation and handout templates and logos provided to him/her by the host for any presentations and/or handouts Speaker may utilize in connection with the program. Speaker agrees to only use the templates and logos as provided by Host and in accordance with its branding guidelines.
  5. provide a copy of his/her presentation for use in session video post-production.

If possible, the speaker will also send a press release through their organization (Host to provide a customizable template) provided Host reviews and approves such press release prior to its distribution. 

 

II. General Terms and Conditions 

 

With respect to the Guest’s participation in the Event:

 

  1. The Guest shall be an independent contractor during the period of performance under this Agreement and not an employee or agent of the Host.
  2. The Guest shall own the copyright in all materials provided for or created by him/her at the Event except for materials specifically created solely for Hosts use or materials incorporating the Host’s intellectual property. To the extent the Guest provides their intellectual property to the Host for use in the Event, Speaker grants the Host a nonexclusive, worldwide, royalty free license to use, reproduce, and distribute the intellectual property in connection with the Event;
  3. The Guest grants the Host and its agents, licensees, members, and employees a royalty-free, perpetual license to publish, reproduce or otherwise use the Guest’s name, picture, likeness, comments, voice for any lawful purpose in all media in connection with the Event;
  4. The Guest is knowingly and voluntarily taking part in the activities for which their image is being captured and understands the associated requirements;
  5. The Guest releases and waives any and all claims, damages, losses and expenses as a result of, or arising from, their participation;
  6. To the best of Guest’s knowledge, their presentation does not violate any proprietary or personal rights of others (including, but not limited to, any copyright, trademark, or privacy rights), is factually accurate, and contains nothing defamatory or otherwise unlawful or inappropriate;
  7. The Guest has obtained all necessary licenses and permissions for any third-party intellectual property including, but not limited to, music, video or other media shown as part of the Guest’s presentation;
  8. The Guest shall conduct themselves in a professional and civil manner and in accordance with the Host’s Code of Ethics;
  9. The Guest agrees that no portion of the resulting media created at the Event, containing the Guest’s name, biographical information, quotes, photographs, or recorded interviews needs to be submitted for any approval.

 

III. Non-Discrimination

 

The Host prohibits discrimination, harassment or bullying against any person because of age, ancestry, color, disability or handicap, national origin, race, religion, gender, sexual or affectional orientation, gender identity, appearance, matriculation, political affiliation, marital status, veteran status, or any other characteristic protected by law. The Host expects that the Guest shall maintain an environment free of discrimination, including harassment, bullying, or retaliation when and wherever those individuals are conducting Host’s business or participating in Host’s events or activities. 

 

IV. Indemnification 

 

The Guest shall indemnify, release, defend, and hold harmless the Host, its directors, officers and employees from and against any and all claims, demands, causes of action, losses, damages, liabilities, costs and expenses, including without limitation, reasonable attorneys’ fees and costs, arising out of a third party claim, action, or proceeding, based directly or indirectly on any breach of the Guest ‘s warranties contained herein or arising from or relating to the Guest’s performance under this Agreement. 

 

V. Compensation and Expenses 

 

In the situation where the Host has agreed to pay the Guest any amount for the Performance, it shall be discussed and confirmed via email. The payment (if any) will be in the form of a bank transfer to be made payable within thirty (30) days after the Event.  

 

VI. Cancellation and Force Majeure 

 

The Guest agrees to notify the Host’s program managers immediately in the event that an emergency should prevent him/her from meeting his/her obligation to the Event. Any substitution of a new speaker shall require the Host’s written consent. 

 

None of the parties shall be liable to the other party for any delay or failure to perform arising out of causes beyond its reasonable control, including, but not limited to, government authority, technical issues, riots, epidemics, unusually severe weather, fire, floods, war, terrorism, embargoes, labor disputes or strikes. 

 

VII. Electronic Signature

 

Each party acknowledges and agrees that by clicking-through acceptance of this Agreement; it is submitting an authorized electronic signature and entering into a legally binding contract. Further, each party hereby waive any rights or requirements under any applicable statutes, regulations, rules, ordinances or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by other than electronic means.

 

The Guest acknowledges that they have read and understand this document and what it means with respect to their participation. Speaker warrants, represents, and agrees that they have the full power and authority to enter into this agreement; and has obtained all necessary permissions or licenses from any necessary individuals or organizations prior to the Speaker’s presentation.
